1. Agreement
These Terms of Service ("Terms") form a legal agreement between you ("Customer", "you") and the operator of Clinitricks ("we", "our", "the platform"). By creating an account, signing up for a subscription, or using Clinitricks in any form, you accept these Terms. If you do not agree, do not use the platform.
Clinitricks is a clinical practice management platform. The platform is provided as Software-as-a-Service (SaaS) hosted by us. The Terms cover both free and paid use.
2. Eligibility and Account
- You must be at least 18 years old and legally competent to enter a binding contract in your jurisdiction.
- You are responsible for keeping your credentials confidential. You must notify us immediately of any unauthorised access.
- One account may not be shared between multiple individuals. Each practising clinician, staff member, or administrator needs their own account.
- You must provide accurate, complete, and current registration information and keep it updated.
3. Your Responsibilities — Patient Data and Clinical Use
Clinitricks is a tool used by licensed healthcare providers. You are the data controller of the patient data you enter; we are the data processor. This means:
- You are responsible for obtaining any consents required under DPDP Act (India), HIPAA (US), or other laws applicable to the jurisdiction of your patients.
- You are responsible for the clinical accuracy of any records you create — prescriptions, diagnoses, vitals, treatment plans, examination notes.
- Clinitricks features (e.g., drug-interaction warnings, clinical decision support, clinical summaries, AI-generated drafts) are informational aids, not clinical advice. The treating clinician must exercise independent professional judgement at all times.
- You must not use the platform to store data of minors, mental-health records, or other sensitive categories without the specific consents required by your jurisdiction.
4. Acceptable Use
You must not:
- Use the platform for any unlawful purpose or in violation of medical-practice regulations applicable to you.
- Attempt to break, reverse-engineer, probe for vulnerabilities in, or overload the platform.
- Upload malware, scrape automated data, or use unofficial clients to access the API.
- Impersonate another user, clinic, or healthcare provider.
- Use the platform to send unsolicited commercial communication to patients beyond the scope of their care.
5. Subscriptions, Pricing and Billing
- Clinitricks offers a free tier (Starter) and paid tiers (Growth, Pro, Enterprise) with additional features and higher usage limits.
- Paid subscriptions renew monthly or yearly as selected at purchase. Fees are shown on the pricing page and may change with at least 30 days' notice.
- Taxes (including GST in India) are added to the displayed price as applicable under local law. Indian tenants see 18% GST reflected on every invoice.
- Payments are processed by Razorpay. Your card details are stored securely by Razorpay and never touch our servers.
- Failed payments trigger automated retries over approximately 7 days; repeated failure leads to a read-only grace period, then account suspension, then cancellation.
- You may cancel your subscription at any time from Settings → Billing. Cancellation stops further renewals; service continues until the end of the already-paid period.
5a. Refund Policy
We want you to be satisfied. Our refund policy is:
- 7-day new-subscriber refund: If you subscribe to a paid plan and request a cancellation and full refund within 7 days of your first charge, we will refund the payment in full — no questions asked. Write to support@clinitricks.com with your invoice number.
- Accidental double-charge: If Razorpay charges you twice for the same period (confirmed by both our records and yours), we will refund the duplicate within 5 business days.
- Annual plan pro-rata: If you cancel an annual plan after the 7-day window, we do not automatically issue a pro-rata refund for unused months. You may contact us and we will review on a case-by-case basis.
- Mandatory refunds: Nothing in this section limits any refund rights you have under the Consumer Protection Act 2019 (India) or any other mandatory consumer-protection law applicable in your jurisdiction.
To request a refund, email support@clinitricks.com with subject line "Refund Request — [Invoice Number]". We aim to respond within 2 business days.
6. Data Ownership and Portability
- You own the patient data, clinical notes, prescriptions, and billing records you enter. We do not claim any rights over your clinical content.
- We reserve a limited, non-exclusive licence to process your data solely to provide, secure, and improve the platform on your behalf.
- You may request a full export of your clinic data at any time from your account settings. Export is provided in machine-readable formats (SQL, JSON, or CSV).
- On cancellation, we retain your data for 30 days to allow a grace-period restoration, after which it is permanently deleted unless law requires us to retain it.
7. Intellectual Property
The platform itself — including its code, interface, branding, documentation, templates, and help content — is the property of Clinitricks. These Terms grant you a limited, revocable, non-transferable licence to use the platform for your clinical practice. No other rights are granted.
8. Availability and Service Levels
We operate the platform on a reasonable-endeavours basis with monitoring, regular backups, and a target uptime of 99.5%. Status updates and planned maintenance are published at status.clinitricks.com (when available). No SLA-backed uptime guarantees apply to the free tier.
9. Limitation of Liability
To the maximum extent permitted by law, our aggregate liability arising from or related to your use of the platform is limited to the fees you paid us in the 12 months preceding the event giving rise to the claim.
We are not liable for indirect, incidental, consequential, or punitive damages — including lost revenue, lost data (beyond any restoration available from our backups), loss of goodwill, or clinical outcomes. Nothing in these Terms limits liability for gross negligence, wilful misconduct, or any liability that cannot lawfully be limited.
10. Indemnification
You agree to indemnify and hold us harmless against third-party claims arising from your misuse of the platform, your violation of these Terms, or your breach of any patient's rights with respect to their data.
11. Termination
- You may stop using the platform at any time by cancelling your subscription and closing your account from Settings.
- We may suspend or terminate your account for a material breach of these Terms — including non-payment, illegal activity, or abuse of other users — with reasonable notice where circumstances allow.
- After termination, export and data-deletion rights described in Section 6 apply.
12. Changes to these Terms
We may update these Terms. Material changes will be notified via email and an in-app banner at least 14 days before they take effect. Continued use of the platform after that date constitutes acceptance of the new Terms. If you do not agree, you must stop using the platform before the effective date.
13. Governing Law and Jurisdiction
These Terms are governed by the laws of India. Any dispute not resolved through good-faith discussion will be submitted to the exclusive jurisdiction of the competent courts at Pune, Maharashtra. Nothing in this section limits any mandatory consumer-protection rights you have under the law of your country of residence.
Note: This document is a good-faith template. Before commercial launch you should have it reviewed by qualified legal counsel for your target jurisdictions (DPDP Act, HIPAA, EU GDPR, UK-GDPR, state-specific US consumer laws). The core structure and responsibilities above do not replace a bespoke legal review.
